PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Before filing any claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.
If we cannot resolve a dispute informally, you and Outturn agree to resolve any claims relating to these Terms or the Service through final and binding individual arbitration, except as set forth below. The arbitration will be administered by JAMS under its Streamlined Arbitration Rules and Procedures, and judgment on the award may be entered in any court with jurisdiction.
YOU AND OUTTURN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Notwithstanding the above, you may bring claims in small claims court if your claims qualify. Either party may seek injunctive relief in any court of competent jurisdiction for infringement of intellectual property rights.
You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. Your notice must include your name, account information, and a clear statement that you wish to opt out of arbitration.
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. We may update these Terms from time to time at our sole discretion. We will provide notice of material changes by:
Material changes will not apply retroactively and will become effective no sooner than 14 days after posting, except for changes addressing new features or legal requirements, which may be effective immediately. Your continued use of the Service after any changes indicates your acceptance of the modified Terms.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Outturn regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Outturn.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their successors and assigns.
Outturn shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
